Terms of Service

1. Acceptance of Terms

By accessing or using the VaultXL website (https://vaultxl.com), mobile applications, client portal, or any services provided by VaultXL ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use our services. These Terms constitute a legally binding agreement between you and VaultXL, effective as of March 31, 2026.

2. Description of Services

VaultXL provides estate transition, logistics, and value recovery services, including but not limited to:

• Estate cleanouts and property clearing
• Downsizing coordination and management
• Resale, consignment, and done-for-you selling of personal property
• Managed storage solutions
• Business and residential logistics
• AI-powered photo analysis and item valuation

Services are primarily offered in the Charlotte, NC metropolitan area and surrounding markets. Availability may vary by location.

3. User Accounts

Certain features of our services, including the client portal, require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

4. Booking & Payments

All payments are processed securely through Stripe. By booking a service, you authorize VaultXL to charge your payment method for the agreed-upon fees.

Cancellation Policy

• 48 hours or more before scheduled service: Full refund
• 24 to 48 hours before scheduled service: 50% refund
• Less than 24 hours before scheduled service: No refund
• After service has begun: Fees are non-refundable once service delivery has commenced

Refunds will be processed to the original payment method within 5–10 business days. VaultXL reserves the right to reschedule services due to weather, safety concerns, or other circumstances beyond our control.

5. Commission & Resale

For items sold through VaultXL's resale and consignment services:

• VaultXL retains a 30% commission on the gross sale price of all items sold
• The client receives 70% of the gross sale price
• VaultXL determines the pricing strategy, listing platforms, and sale timing at its sole discretion to maximize value recovery
• Payouts to clients are processed within 14 business days of a completed sale
• Items that remain unsold after the agreed-upon consignment period may be donated or disposed of per the terms of your service agreement

6. Service Delivery

All estimates, timelines, and projected values provided by VaultXL are good-faith approximations and do not constitute guarantees. Actual results may vary based on item condition, market conditions, property access, and other factors.

• Clients must provide reasonable and timely access to the property or items for service delivery
• VaultXL is not liable for items left behind after the agreed-upon clearout deadline has passed
• Additional fees may apply if the scope of work materially differs from the original assessment
• Clients are responsible for disclosing hazardous materials, structural concerns, or other safety issues at the property

7. Limitation of Liability

To the maximum extent permitted by applicable law, VaultXL and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) our services.

In no event shall VaultXL's aggregate liability for all claims arising out of or relating to these Terms or our services exceed the total amount of fees paid by you to VaultXL during the twelve (12) months preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless VaultXL, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content or information you provide to us.

9. Intellectual Property

All content, branding, and materials on the VaultXL website and platform, including but not limited to text, graphics, logos, and software, are the property of VaultXL and are protected by applicable intellectual property laws.

• Photographs, listings, descriptions, and marketing materials created by VaultXL in the course of providing services are the intellectual property of VaultXL
• Clients retain ownership of their physical items at all times until a sale is completed or ownership is otherwise transferred
• By uploading photos or content to the VaultXL platform, you grant VaultXL a non-exclusive, royalty-free license to use such content for the purpose of providing and marketing our services

10. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use the services will immediately cease. You may terminate your account at any time by contacting us at support@vaultxl.com. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our services shall be resolved exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

VaultXL reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
